§ 1 Name, Registered Office, Registration, Financial Year

(1) The association bears the name Lernimpuls Witten e. V. (2) The association has its registered office in Witten. (3) It is entered in the register of associations at the District Court at Bergerstr. 14, 58452 Witten. (4) The financial year is the calendar year.

§ 2 Purpose of the Association, Tasks

Purposes of the association:

(1) Promotion of cultural and social coexistence (2) Promotion of an international mindset, of tolerance, of peace in all fields of culture, and of the idea of understanding among peoples (3) Support of the association's work in the legal, social, and economic sphere (4) Promotion of equality between women and men (5) Promotion of youth work (6) Promotion of child and youth welfare (7) Promotion of open child and youth work (8) Promotion of adult education (9) Promotion of art, science, culture, and sport. (10) Promotion of upbringing, school and pre-school education, general and vocational education including student support. (11) Promotion of civic engagement in favour of charitable, benevolent, and religious purposes. (12) Participation and involvement of citizens in political decision-making processes. (13) Promotion of the democratic state within the scope of application of the Basic Law; this does not include efforts that pursue only certain individual interests of a civic nature or that are limited to the municipal-political sphere.

The above-mentioned statutory purposes are realised through the following measures: (1) Holding subject-related lectures, conferences as well as seminars and further training courses. (2) Organisation of scientific events. (3) Inviting scholars from all over the world. (4) Support of pupils and students in the school sphere, in particular through tutoring courses and the completion of the intermediate school leaving certificate, the university of applied sciences entrance qualification, and the Abitur. (5) Promotion of sporting exercises and achievements. (6) Holding cultural events, excursions, and activities. (7) Awarding of scholarships. (8) Language and continuing education courses with/without childcare, competitions, retraining, and social projects. (9) Socio-pedagogical support and counselling. (10) Project work with other institutions, authorities, and organisations (11) Implementation of measures & vocational support (12) Open child and youth work in the form of youth leisure activities, working groups, and further offerings

Promotion includes in particular the personnel, technical, social, cultural, and financial support of providers of socio-cultural and/or educational institutions, or the assumption of school and other comparable institutions under the association's own sponsorship in accordance with the relevant state legal framework conditions. Furthermore, for the purpose of promotion, socio-cultural institutions as well as school educational, teaching, and training facilities for infants, pre-schoolers, pupils, and students of any descent may be founded, established, and operated. For this, it is also possible to establish schools and kindergartens specifically for this purpose. The association may cooperate with other youth and other associations if this is in accordance with the statutes. This also includes cooperation as well as the coordination of the association's work with organisations acting accordingly at home and abroad, as well as membership in these organisations. Furthermore, in accordance with the statutes, the association may also cooperate with private individuals.

§ 3 Political and Religious Neutrality.

(1) The association pursues no political intentions. It is politically and religiously neutral.

§ 4 Full Membership § 4a Acquisition of Full Membership

(1) Any legal or natural person who recognises the statutes of the association may become a full member of the association. (2) The application for full membership must be submitted in writing to the board. The board decides on the application and communicates the result to the person wishing to join. (3) The rejection of an application for admission must be communicated in writing. It does not need to be justified.

§ 4b Rights and Duties of the Full Member

(1) By its declaration of accession, the newly admitted member undertakes to recognise and respect the statutes of the association. (2) In the context of the election and appointment of the association's bodies, full members have the active and the passive right to vote. (3) Full members have the right to take part in every activity offered by the association, to participate in its organisation, and to contribute their own ideas and concepts.

§ 5 Supporting Membership § 5a Acquisition of Supporting Membership

(1) Any legal or natural person who recognises the statutes of the association may become a supporting member of the association. (2) The application for supporting membership must be submitted in writing to the board. (3) The rejection of an application for admission must be communicated in writing. It does not need to be justified.

§ 5b Rights and Duties of the Supporting Member

(1) By its declaration of accession, the newly admitted member undertakes to recognise and respect the statutes of the association. (2) Supporting members have neither the active nor the passive right to vote in the association. (3) Supporting members have no right to vote, to attend, or to be represented at meetings of the members. (4) Supporting members have the right to take part in every activity offered by the association, to participate in its organisation, and to contribute their own ideas and concepts.

§ 6 Honorary Membership § 6a Acquisition of Honorary Membership

(1) Any legal or natural person who recognises the statutes of the association may become an honorary member of the association. (2) Persons who feel ideally committed to the association and who have rendered special services to the association are appointed honorary members by resolution of the board, after the consent of the person has been obtained.

§ 6b Rights and Duties of the Honorary Member

(1) Honorary members have neither the active nor the passive right to vote. They are exempt from paying dues. (2) Honorary members have the right to take part in every activity offered by the association, to participate in its organisation, and to contribute their own ideas and concepts.

§ 7 Termination of Membership (Full Member, Honorary Member, Supporting Member)

1. Membership in the association ends for the following reasons: 1.1. through the death of the member 1.2. through voluntary withdrawal, which takes place by means of a written declaration. The termination takes effect at the end of the following month. Only in the month following the receipt of the letter can the direct debit authorisation be cancelled. 3. Upon the occurrence of one of the following circumstances, the board has the right to expel the member from the association for an unlimited period: 3.1. through conduct of the member contrary to the statutes, 3.2. through membership in an illegal political organisation, 3.3. if the member has caused material and moral damage to the association, 3.4. in the case of separatist activities that threaten the unity or the existence of the association, 3.5. in the case of providing false information that was significant and decisive upon admission to the association. 3.6. if the member fails to fulfil the obligations arising from membership, in particular its obligations under these statutes, or acts contrary to the purposes of the association 3.7. if another important reason exists.

3. In the case of expulsion, the procedure is as follows: 3.1. Before passing the resolution, the board must give the member the opportunity to be heard within a set deadline, 3.2. A resolution on the expulsion of a member requires, for its effectiveness, the consent of 2/3 of all members of the board, 3.3. The expulsion must be communicated to the member with justification by registered letter.

§ 8 Dues

(1) The members pay dues in accordance with a resolution of the members' assembly. (2) A majority of the voting members of the association present at the members' assembly is required to determine the amount and due date of the dues. (3) In order to finance special projects or to eliminate financial difficulties of the association, levies may be imposed. (4) Honorary members are exempt from the obligation to pay dues and levies. (5) In appropriate cases, the board may waive or defer fees, dues, and levies in whole or in part. (6) Donations of private or official origin may be accepted.

§ 9 Financing and Use of the Association's Funds

(1) The association is financed in principle from course fees, membership dues, and from voluntary donations. (2) The association pursues exclusively and directly charitable purposes within the meaning of the section "Tax-Privileged Purposes" of the Fiscal Code (3) Only the board and the general assembly have the right to dispose of the association's assets. (4) The association is selflessly active. It does not primarily pursue its own economic purposes. (5) The funds of the association may only be used for purposes in accordance with the statutes. They may not be used for the private purposes of the members. (6) The members receive no shares of profit and, in their capacity as members, also no allocations from the funds of the association. No person may be favoured by expenditures that are foreign to the purpose of the association or by disproportionately high remuneration. (7) Members of the association who have withdrawn or been expelled can raise no claim to the association's assets. (8) In individual cases the board may reduce dues or waive their collection entirely.

§ 10 Bodies of the Association

1. The association consists of the following bodies 1. Members' Assembly 2. Board 3. Working groups arranged and coordinated by the board

2. An ordinary members' assembly takes place at least once a year. An extraordinary members' assembly must be convened if the interest of the association requires it or if a request for convening it is submitted in writing to the board by at least one third of all members, stating the purpose and the reasons. 3. The members' assembly has a quorum if at least half of the full members are present. 4. The board consists of the chairperson, the deputy chairperson, the secretary, the treasurer, as well as further assessors, whose number is determined according to need. 5. Two board members jointly are always authorised to represent. 6. The board has a quorum with at least four board members, if among them is the chairperson or deputy chairperson. 7. Each board member has one vote on decisions and resolutions to be made. 8. The board is elected by the members' assembly for a term of two years. However, it remains in office even after the expiry of the term of office until new elections of the board. 9. If more than three board members leave the board or resign, the general assembly must hold supplementary elections. 10. The board of the association is elected by the members' assembly in two ballots. 10.1. First, the chairperson and deputy chairperson are elected. Of the proposed persons, the one who has received the most votes is the chairperson. The person with the second most votes becomes the deputy chairperson. In doing so, each member may vote for only one nominee. 10.2. In the second ballot, the remaining board members are elected, whereby each voter may again vote for only one person. The members with the most votes are then elected to the board. The board determines the treasurer and the secretary from among these members. 1. The board may propose and coordinate working groups. The working groups may, if necessary, elect a chairperson. The working groups are subordinate to the board of the association and have no decision-making rights whatsoever on the board. The working groups act in accordance with these statutes.

§ 11 Resolutions of the Members' Assembly and Amendments to the Statutes

1. The members' assembly is chaired by the chairperson, or in the event of their being prevented, by the deputy chairperson. If the latter is also prevented, the members' assembly elects the assembly leader from among its number. The members' assembly may resolve to supplement the agenda continued by the board. 2. Unless the statutes provide otherwise, in the passing of resolutions of the members' assembly the majority of the votes cast decides. Abstentions are therefore disregarded. 3. At the members' assembly and board meeting, minutes must be kept by the secretary. The minutes must be signed by the secretary and the chairperson or deputy chairperson. 4. Amendments to the statutes can only be resolved with a three-quarters majority of the members present.

§ 12 Managing Director

1. The managing director must conduct the business impartially. Their tasks and authority are to be determined by rules of procedure/contract. 2. They take part in the members' assemblies and board meetings in an advisory capacity. 3. The managing director is appointed for their area of responsibility as a special representative pursuant to § 30 of the German Civil Code (BGB) and, to that extent, responsibly represents the association for the conduct of ongoing business. Ongoing business includes all regular, recurring business and administrative processes of the association's operations.

§ 13 Dissolution of the Association and Binding of Assets

1. A ¾ majority of the members present at the members' assembly is required for the resolution to dissolve the association. The resolution can only be passed after timely announcement in the invitation to the members' assembly. 2. Unless the members' assembly resolves otherwise, the chairperson and the deputy chairperson are jointly authorised liquidators with power of representation. 3. Upon dissolution of the association or upon the cessation of tax-privileged purposes, 100% of the assets of the association pass to a Paritätische member organisation, a Paritätische state association, or the Paritätische umbrella association, decided upon by majority at the members' assembly, which must use them exclusively and directly for charitable purposes.
